Greater Waco Emmaus Community Bylaws
Section 1. Governance. Direction of the Greater Waco Emmaus Community shall be vested in a Board of Directors, hereinafter called the Board.
Section 2. Board Membership. The Board membership shall consist of 10-11 lay members and two clergy members.
Section 3. Election of Board Members. One half of the board members shall be elected each year to serve a term of two years. Any person who has served as a team member on a three-day weekend event and, who is an active member of a local Fourth Day Community and a Reunion Group is eligible to be a member of the Board. It is the intention that no Board member can serve more than one consecutive elected term in the same position except the Newsletter Editor, however should no community member willingly accept a position, the board may, at their discretion, ask a past board member to serve an additional year.
Nominating Committee
At the October gathering, the membership shall nominate three members from the floor, to serve on the Nominating Committee along with the Lay Director. These four members will present a slate of nominations to the Community for consideration at the November Gathering. By November, the Spiritual Director shall give the name of his/her selection for Assistant Spiritual Director to the Nominating Committee.

At the November Gathering, nominations will also be accepted from the floor from any current individual member of the Greater Waco Emmaus Community.
Election of Board
Election shall be by majority vote of all votes cast by the voting members of the Community present at the December Gathering. The lay director will not vote except in the event of a tie. In the event of a tie, the lay director will cast the tie-breaking vote.
Section 4. Board Vacancies. The Lay Director, with the approval of the Board may appoint a member to fill any lay vacancy in the Board that occurs. The Lay Director shall nominate members to fill vacancies and a majority vote of the Board members present at the meeting where nominated shall constitute approval. Members appointed to fill such vacancies shall be members of the Board effective with approval and shall serve until the regular expiration of the term of the member being replaced.
Section 5. Board Composition. The Board shall consist of Lay Director, Assistant Lay Director, Spiritual Director, Assistant Spiritual Director, Secretary, Treasurer, Newsletter Editor, Music Team Director, Communion Steward, a Kairos/Epiphany Representative, a Chrysalis Representative, and optionally, a webmaster. The Assistant Lay Director will to serve as Lay Director after serving as Assistant Lay Director for one year. The Assistant Spiritual Director will serve as Spiritual Director after serving as Assistant Spiritual Director for one year.
Section 6. Board Rotation.
In December of even numbered years, the following positions will be voted on:
1) Assistant Lay Director(Last years Assistant rotates up to Lay Director),
2) Assistant Spiritual Director (Last years Assistant rotates up to Spiritual Director)
3) Treasurer,
4) Newsletter Editor/Webmaster,
5) Assistant Music Team Director(Last years Assistant rotates up to Music Team Director),
6) Chrysalis Representative.
In December of odd numbered years the following positions will be voted on:
1) Assistant Lay Director (Last years Assistant rotates up to Lay Director),
2) Assistant Spiritual Director (Last years Assistant rotates up to Spiritual Director),
3) Secretary,
4) Communion Steward,
5) Kairos/Epiphany Representative,
6) Assistant Music Team Director(Last years Assistant rotates up to Music Team Director).
Section 7. Board Responsibilities. The Lay Director shall be the chief administrative officer of the Board and the Community. The Lay Director shall set the time and place of all meetings of the Board and shall chair such meetings. The Lay Director shall perform other such duties as the Board may direct.
The Assistant Lay Director shall be in charge of scheduling fourth (4th) day speakers and shall chair meetings in the absence of the Lay Director and shall perform other such duties as the Lay Director or the Board may direct.
The Secretary shall keep and distribute minutes of any and all Board meetings, shall chair meetings in the absence of the Lay Director and Assistant Lay Director, and shall perform other such duties as the Lay Director or the Board may direct.
The Treasurer shall oversee the day-to-day financial activities of the Community, shall chair meetings in the absence of the Lay Director, Assistant Lay Director, and Secretary, and shall perform other such duties as the Lay Director or the Board may direct.
The Spiritual Director shall be the theological and spiritual leader of the Board and the Community.
The Assistant Spiritual Director shall support the Spiritual Director in providing theological and spiritual leadership to the Board and the Community.
The Music Team Director shall lead the worship and music team at community gatherings, including planning the music, securing song books and related items, as well as providing leadership to the music team for sponsored Walks.
The Assistant Music Team Director shall support the Music Team Director in leading the worship and music team at community gatherings.
The Kairos/Epiphany Coordinator shall encourage membership to support Kairos/Epiphany Walks and report on progress and needs to the community.
The Chrysalis Coordinator shall report on Chrysalis Walks to the community and/or keep the community informed of and supportive of Chrysalis walks in other communities.
The Communion Steward shall secure the elements and prepare the communion table and community tables for gatherings.
The Newsletter Editor shall prepare the community newsletter for electronic and print distribution as directed by the board. This board member may also be responsible for updating the community website.
The Webmaster shall be responsible for maintaining an up-to-date website with community news and information, walks, bylaws, links and other pertinent information. The duties of this position may be joined together with the duties of the Newsletter Editor should the newsletter editor choose to take on both responsibilities within one board position.
Section 8. Removal of Office. Any Board member may recommend to the Board that a member be removed from the Board if that member: misses two consecutive regularly scheduled Board meetings; fails to fulfill committee responsibilities, does not support the Vision and the goals of the Community; or fails to support the annual Upper Room Letter of Agreement. A majority vote of the members present at the meeting where the recommendation is made shall remove the member. The prohibition of serving as a Board member shall remain in place until such time as the Board, by majority vote, upon the recommendation of the Lay Director may allow the member to serve again.
Section 9: Change to Bylaws. Changes to these rules may be made by a majority vote of the Board Members present at the next board meeting after being presented to the board.
